Quarterly Event: “Governance and Shareholders’ Agreements in Venture Capital”

We held our Q1 2026 Quarterly Event at Cuatrecasas, a leading law firm in Spain and a key reference in the legal advisory of Venture Capital and Private Equity transactions. There we brought together our investor community to share portfolio updates, strengthen relationships within the ecosystem, and dive deeper into the key drivers of returns in early-stage investing.

The session kicked off with a Faraday update, covering the main milestones of the quarter, portfolio performance, and the current positioning of Faraday Europa II, VCF as it approaches the end of its subscription period.

This was followed by CEO interviews of our recent additions to the portfolio. Samuel Ruiz (ScrapAd) shared the evolution of his global B2B platform for recycled metals trading, highlighting strong operational traction and logistics challenges in a highly volatile environment. Alexander Skjøth (Frankly Insure), in turn, presented an embedded insurance model focused on efficient distribution and CAC/LTV optimization through direct integration at the point of sale.

The core highlight of the event was a round table on “Shareholders’ Agreements in Venture Capital: what really matters (and what doesn’t)”, featuring two leading experts with complementary perspectives: Diana Rivera, Partner at Cuatrecasas and Head of Venture Capital and Private Equity, brought a structured legal view on how to design robust agreements, anticipate conflicts and protect investor and founder interests. And José Antonio González, Partner at Deloitte Spain and active Business Angel, provided a practitioner’s perspective, sharing real-life insights on negotiation dynamics, common pitfalls and alignment across the investment lifecycle.

The discussion focused on key levers such as information rights, reserved matters, liquidation preferences and drag/tag-along clauses, with a clear takeaway: poor structuring at early stages can materially impact value creation and exit execution.

The event concluded with a networking cocktail, fostering interaction between investors, entrepreneurs, and advisors, and reinforcing the community dimension as a key differentiator of Faraday.
